Terms of Service

The agreement between you and Conduyt when you use our platform.

1. Acceptance

By accessing or using Conduyt (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Conduyt is a customer relationship management platform that provides pipeline management, contact management, messaging, reporting, and related tools. We may update, modify, or discontinue features with reasonable notice.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorized access.

4. Your Data

You retain all rights to the data you upload to Conduyt. We claim no ownership of your content. You grant us a limited license to process your data solely to provide the Service.

Your data, your rules: You can export all data at any time. If you cancel, you have 30 days to export before deletion.

5. Support and Administrative Access

You grant Conduyt the right to access your account for customer support, troubleshooting, security investigations, and compliance with legal obligations. All such access is logged. See our Privacy Policy for details on how we use this capability.

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Send unsolicited bulk communications (spam) through the platform
Attempt to gain unauthorized access to other accounts or systems
Interfere with or disrupt the Service or its infrastructure
Reverse engineer, decompile, or attempt to extract source code
Resell access to the Service without written authorization

7. Payment & Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Price changes do not apply to the current billing period.

8. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. Upon cancellation, you have 30 days to export your data before it is permanently deleted.

9. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by Conduyt, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.

10. Limitation of Liability

To the maximum extent permitted by law, Conduyt's total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Indemnification

You agree to indemnify and hold Conduyt harmless from claims arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law provisions. Any disputes will be resolved in the state or federal courts located in King County, Washington.
